Terms of Service

These terms govern your use of Metatate. They are written to be read — if anything is unclear, ask us before you agree to it.

These Terms of Service ("Terms") are an agreement between Metatate, Inc. ("Metatate", "we", "us") and the person or entity using our website at getmetatate.com and our products and services, including the Metatate platform, the Metatate Snowflake Native App, our MCP servers, and our plugins (together, the "Service"). By accessing the website or using the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" means that organization.

The Service

Metatate provides a decision layer for data: tooling to author, store, and serve business rules, data meaning, and access policies to people, pipelines, and AI agents, including over the Model Context Protocol. The Service evolves; we may add, change, or remove features, and we will not materially reduce the core functionality of a paid plan during a billing period you have already paid for.

Accounts

You must provide accurate information when creating an account and keep your credentials secure. You are responsible for activity that occurs under your account, including tokens you issue for agents and integrations. Tell us promptly at hello@getmetatate.com if you believe your account has been compromised.

Plans, billing, and renewal

Current plans and prices are published on our pricing page. Paid subscriptions are billed in advance on a recurring basis and renew automatically at the end of each billing period until cancelled. Applicable taxes are your responsibility unless we are required to collect them. We may change prices with notice; price changes take effect at your next renewal, never mid-period. We may modify or discontinue the free plan at any time.

Cancellation and refunds

You may cancel your subscription at any time from the app or by emailing us. Cancellation takes effect at the end of the current billing period: you keep access until then, and you will not be charged again. Except where required by law, payments already made are non-refundable and we do not provide prorated refunds for partial billing periods. Downgrades take effect at the next renewal.

Your data

You retain all rights to the data, metadata, policies, and other content you bring to or create in the Service ("Customer Data"). You grant Metatate a limited license to host and process Customer Data solely to provide, secure, and improve the Service. We access your data systems only through credentials you provide, which you may revoke at any time, and we do not sell Customer Data. You are responsible for having the rights and consents needed for the data you connect.

Acceptable use

You agree not to: use the Service in violation of law or the rights of others; upload or process data you do not have the right to process; interfere with or disrupt the Service, including probing or circumventing its security or rate limits; attempt to access accounts or tenants that are not yours; reverse engineer the Service except to the extent a law expressly permits it despite this restriction; or resell or offer the Service to third parties as your own service without our written agreement. We may suspend access that we reasonably believe threatens the security or integrity of the Service, and will tell you why when we do.

Intellectual property

The Service, including its software, design, and documentation, is owned by Metatate and its licensors and is protected by intellectual property law. These Terms do not grant you any rights in the Service other than the right to use it while these Terms are in effect. Feedback you choose to give us may be used without obligation to you. Open-source components we publish are licensed under the terms in their repositories.

Third-party services

The Service connects to third-party platforms you choose, such as Snowflake, PostgreSQL, BigQuery, Redshift, or Databricks, and can be used from third-party clients such as Claude Code or Cortex Code. Those services have their own terms, and Metatate is not responsible for them. Charges those platforms bill you (for example, warehouse compute) are yours.

Disclaimers

The Service is provided "as is" and "as available." To the fullest extent permitted by law, Metatate disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Metatate provides governance context to systems and people; it does not replace your own review, and you remain responsible for decisions made with the Service's output, including decisions made by AI agents you operate.

Limitation of liability

To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data, even if advised of the possibility. To the fullest extent permitted by law, Metatate's total liability arising out of or relating to the Service is limited to the amounts you paid us for the Service in the twelve months before the event giving rise to the claim (or one hundred US dollars if you have paid nothing). Nothing in these Terms limits liability that cannot be limited by law.

Termination

You may stop using the Service at any time. We may suspend or terminate your access if you materially breach these Terms and do not cure the breach within a reasonable time after we notify you, or immediately for breaches that threaten the Service or other customers. Upon termination, your right to use the Service ends; on request made within 30 days, we will provide a reasonable export of your Customer Data, after which we may delete it. Sections that by their nature should survive termination (including Your data, Disclaimers, Limitation of liability, and Governing law) survive.

Changes to these terms

We may update these Terms from time to time. If a change is material, we will give notice — by email or in the app — before it takes effect. Continuing to use the Service after a change takes effect means you accept the updated Terms; if you do not accept them, cancel before they take effect.

Governing law

These Terms are governed by the laws of the State of New York, without regard to its conflict-of-law rules. The state and federal courts located in New York, New York have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Service, and each party consents to their jurisdiction.
